1. Introduction

Welcome to Gurudial (“Platform”, “Company”, “we”, “our”, “us”), a multi-vendor e-commerce marketplace that enables independent sellers (“Vendors”) to list and sell products to customers (“Buyers”).

By accessing or using www.gurudial.com (the “Service”), you agree to be bound by these Terms & Conditions (“Agreement”). If you do not agree, please do not use the Platform.

2. Definitions

  • Platform – Gurudial website and related services.

  • User – Any individual accessing or using the Platform.

  • Vendor/Seller – Registered user selling products on the Platform.

  • Buyer/Customer – User purchasing products from Vendors.

  • Content – Product listings, images, descriptions, reviews, or other materials uploaded to the Platform.

3. Eligibility

  • Users must be at least 18 years old.

  • Vendors must have legal authority to sell products and comply with applicable Indian laws.

  • By registering, you confirm that all information provided is accurate.

4. Account Registration & Security

  • Users must create an account to access certain features.

  • You are responsible for maintaining confidentiality of login credentials.

  • Gurudial is not liable for unauthorized use of your account.

5. Vendor Responsibilities

Vendors agree to:

  • Provide accurate product descriptions, pricing, and availability.

  • Deliver products within the promised timeframe.

  • Comply with GST, consumer protection laws, and other regulations.

  • Not sell counterfeit, prohibited, or illegal goods.

  • Maintain proper customer support and respond to disputes.

Gurudial reserves the right to suspend vendor accounts for violations.

6. Buyer Responsibilities

Buyers agree to:

  • Provide accurate shipping and contact details.

  • Make timely payments.

  • Use products lawfully.

  • Not misuse return/refund policies.

7. Pricing & Payments

  • Prices are determined by Vendors.

  • Payments are processed via secure third-party payment gateways.

  • Gurudial may charge a commission per completed transaction (as per Vendor Agreement).

  • Cash on Delivery (COD) may be available for select products.

8. Shipping & Delivery

  • Vendors are responsible for packaging and dispatching orders.

  • Estimated delivery timelines are indicative and may vary.

  • Gurudial is not liable for courier delays beyond reasonable control.

9. Returns, Refunds & Cancellations

  • Each Vendor must clearly display their return/refund policy.

  • Buyers must initiate return requests within the specified time.

  • Gurudial may mediate disputes but is not responsible for vendor decisions.

  • Refund timelines depend on payment method and bank processing.

10. Prohibited Activities

Users shall NOT:

  • Post illegal, defamatory, abusive, or fraudulent content.

  • Attempt hacking, scraping, or disrupting the Platform.

  • Sell restricted/prohibited goods (weapons, drugs, counterfeit products, etc.).

  • Manipulate reviews or ratings.

Violation may result in immediate account suspension.

11. Intellectual Property

  • All Platform content (logo, branding, design, software) belongs to Gurudial.

  • Vendors grant Gurudial a non-exclusive license to use product listings for promotional purposes.

  • Unauthorized copying or reproduction is prohibited.

12. Reviews & Feedback

  • Buyers may leave genuine reviews.

  • Fake, abusive, or misleading reviews may be removed.

  • Gurudial reserves the right to moderate reviews.

13. Limitation of Liability

  • Gurudial acts as an intermediary marketplace.

  • We do not manufacture, stock, or directly sell products unless specified.

  • We are not liable for product quality, safety, or legality provided by Vendors.

  • Our total liability shall not exceed the transaction value of the disputed order.

14. Indemnification

Users agree to indemnify and hold Gurudial harmless from claims, damages, penalties, or legal expenses arising from:

  • Violation of these Terms

  • Sale of illegal products

  • Misuse of the Platform

15. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information.

16. Suspension & Termination

Gurudial may suspend or terminate accounts without prior notice if:

  • Terms are violated

  • Fraudulent activity is detected

  • Legal compliance issues arise

17. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the jurisdiction of courts located in [Insert City, State – e.g., Badaun, Uttar Pradesh, India].

Disputes may first be attempted to be resolved through mutual discussion or arbitration.

18. Amendments

Gurudial reserves the right to modify these Terms at any time.
